Terms of Service

1. Acceptance of Terms

By accessing or using AgentDDS ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and a licensed dental professional (or enrolled in an accredited dental program) to create a candidate account. Employer accounts require a valid dental practice or organization.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information in your profile and to update it as needed.

4. Candidate Services

AgentDDS provides candidates with career matching, contract review, negotiation support, portfolio hosting, and continuing education tracking at no cost. These services are provided as-is. AgentDDS does not guarantee employment or specific outcomes.

5. Employer Services and Fees

Employers access the AgentDDS candidate pool and matching services. A placement fee of $10,000 is due upon successful placement (defined as a candidate signing an employment contract with the employer). Payment terms are net 30 from the placement date.

6. Replacement Guarantee

If a placed candidate voluntarily leaves or is terminated within 90 days of their start date, AgentDDS will provide one replacement candidate search at no additional cost. This guarantee does not apply to terminations for cause by the employer.

7. Prohibited Conduct

You agree not to:

• Provide false or misleading information in your profile
• Circumvent AgentDDS to directly negotiate with matched parties
• Use the Platform for purposes unrelated to dental career services
• Scrape, harvest, or collect data from the Platform without authorization
• Impersonate another person or entity

8. Intellectual Property

You retain ownership of content you upload (portfolio items, videos, documents). By uploading content, you grant AgentDDS a non-exclusive license to display it within the Platform for the purpose of matching and profile presentation.

9. Limitation of Liability

AgentDDS is a matching and advisory platform. We do not employ candidates or manage dental practices. We are not liable for employment disputes, contract terms agreed between candidates and employers, or malpractice claims. Our total liability to you shall not exceed the fees you have paid to AgentDDS in the 12 months preceding the claim.

10. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these terms. Outstanding placement fees remain due regardless of account status.

11. Governing Law

These terms are governed by the laws of the State of California. Disputes shall be resolved through binding arbitration in Los Angeles County, CA.

12. Changes to Terms

We may modify these terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated via email at least 30 days in advance.
